1. Agreement to Terms
By accessing or using Colaber's platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this service.
2. Description of Service
Colaber provides an AI-powered business management and marketing platform designed for chat-commerce businesses, including CRM, automation, communication management, and e-commerce tools ("Service").
3. Account Registration
3.1 Eligibility
- You must be at least 18 years old to use this Service
- You must provide accurate, current, and complete information
- You must be authorized to represent your business if registering on behalf of an entity
- You must not be prohibited from using the Service under applicable laws
3.2 Account Security
- You are responsible for maintaining the confidentiality of your account credentials
- You must immediately notify us of any unauthorized access
- You are responsible for all activities under your account
- One account per business entity unless otherwise authorized
4. Acceptable Use Policy
4.1 You agree NOT to:
- Violate any laws, regulations, or third-party rights
- Use the Service for illegal, fraudulent, or malicious activities
- Send spam, phishing, or unsolicited commercial messages
- Upload viruses, malware, or harmful code
- Attempt to gain unauthorized access to our systems
- Reverse engineer or copy any features or technology
- Use the Service to harass, abuse, or harm others

4.2 Consequences
Violation of these terms may result in immediate suspension or termination of your account, legal action, and cooperation with law enforcement.
5. Meta/Facebook Integration
5.1 Platform Compliance
When using Meta integrations (Facebook, Instagram, WhatsApp), you must:
- Comply with Meta's Platform Terms and Developer Policies
- Respect Meta's Community Standards
- Obtain proper user consent before accessing their Meta data
- Not use Meta integrations to violate privacy or spam users
- Maintain valid Business Manager and app permissions
5.2 Your Responsibilities
- You are responsible for compliance with Meta's policies
- We may suspend features if Meta access is revoked
- Changes to Meta's policies may affect available features
6. Payment and Billing
6.1 Fees and Charges
- Fees are based on your selected subscription plan
- All fees are exclusive of applicable taxes unless stated otherwise
- Prices may change with 30 days' notice
- You authorize us to charge your payment method automatically
6.2 Payment Processing
- Payments are processed through secure third-party processors
- You must provide valid and current payment information
- Failed payments may result in service suspension
- We comply with PCI-DSS standards for payment security
6.3 Refunds and Cancellations
- Subscription fees are generally non-refundable
- You may cancel at any time; service continues until period end
- No pro-rated refunds for mid-cycle cancellations
- Refunds may be issued at our sole discretion for billing errors
7. Intellectual Property

The Service, including all software, design, content, and trademarks, is owned by Colaber and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

- You grant us a license to use your content to provide the Service

- You are responsible for your content and its compliance with laws
8. Data and Privacy
Your use of the Service is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in that policy.
9. Service Availability
- We strive for 99.9% uptime but do not guarantee uninterrupted service
- We may perform maintenance with or without notice
- We reserve the right to modify or discontinue features
- We are not liable for service interruptions or data loss
10. Third-Party Services
Our Service may integrate with third-party services (payment gateways, social platforms, etc.). Your use of third-party services is subject to their terms and privacy policies. We are not responsible for third-party services.
11. Disclaimers and Limitations

11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLABER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
11.3 Maximum Liability
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold Colaber harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or violation of any rights of another party.
13. Termination
- Either party may terminate the agreement at any time
- We may suspend or terminate your account for violations
- Upon termination, your right to use the Service ceases immediately
- We may delete your data according to our data retention policy
- Provisions that by nature should survive termination will survive
